Terms of Service
Last updated 26 October 2026
These Terms of Service ("Terms") govern access to and use of CloudVault Pro, a managed backup service operated by WebNetCom Ltd. ("WebNetCom", "we", "us"). CloudVault Pro is provided to managed service providers (each an "MSP") and, through them, to their customers and end users. By using the service you agree to these Terms. If you use the service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
The service
CloudVault Pro backs up data from endpoints and from connected cloud accounts such as Microsoft 365 and Google Workspace, stores the backups in encrypted form in the storage location the MSP selects, and allows restoring that data. Features, limits and retention depend on the plan and policies the MSP configures.
Accounts and security
You are responsible for your account credentials and for activity under your account. Administrative actions require multi-factor authentication. You must keep your contact and administrator details accurate, and promptly tell us or your MSP of any suspected unauthorized access.
Authorization to access connected accounts
When you connect a Microsoft 365 or Google Workspace tenant, you confirm that you are authorized to grant access to that tenant's data and to have it backed up and, where enabled, restored. You may revoke access at any time through your Microsoft or Google admin console or by removing the connection; doing so stops further backups.
Acceptable use
You agree not to use the service to:
- break the law or infringe the rights of others;
- store or transmit malicious code, or attempt to disrupt, probe or gain unauthorized access to the service or its infrastructure;
- back up data you have no right to copy, or data whose backup would violate a third party's rights or a contract; or
- resell or provide the service to third parties except as permitted by your agreement with your MSP or with us.
Your data
As between the parties, you and your MSP own the data you back up. You grant us the limited rights needed to store, transmit, protect and restore that data in order to provide the service. Our handling of personal information is described in our Privacy Policy.
Backups, restores and your responsibilities
Backup is a safeguard, not a guarantee against every form of data loss. You are responsible for choosing what to back up, for setting appropriate schedules and retention, and for verifying that restores meet your needs. We recommend periodic test restores. We are not responsible for data that was not selected for backup, for data changed or deleted before a backup ran, or for loss caused by incorrect configuration outside our control.
Availability and changes
We work to keep the service available and may perform maintenance. We may add, change or remove features. We will not make a change that materially reduces core backup or restore functionality without reasonable notice to the MSP.
Fees
Fees, where they apply, are set between you and your MSP, or between the MSP and us. Storage usage may be metered. Non-payment may lead to suspension in accordance with the applicable agreement.
Disclaimers
The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, except where such disclaimer is not permitted.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, and our total liability arising out of or relating to the service is limited to the amount paid for the service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
Suspension and termination
We may suspend or terminate access for a material breach of these Terms, for unlawful use, or where required to protect the service or others. On termination, backups are handled according to the retention policy and any applicable agreement.
Governing law
These Terms are governed by the laws of the State of Israel, without regard to conflict of laws rules, and the competent courts of Israel have exclusive jurisdiction, unless a separate signed agreement between the parties states otherwise.
